DALLAS, TEXAS (June 23, 2006) - Dresser, Inc. announced today that it has requested that the Securities and Exchange Commission (SEC) withdraw its Form S-1 registration statement, which was originally filed in September 2004 and subsequently amended in December 2004. The registration statement related to an initial public offering of common stock and was never declared effective.
The company said it considered the withdrawal to be appropriate in order for it to complete its pending restatement of its financial statements and to strengthen its financial controls. It also noted that the 18-month-old document does not reflect the current scope of the company's businesses or its financial results. The company said any future decision concerning an initial public offering will be dependent on market conditions at that time.
The company had previously announced it will restate its 2004 annual and quarterly financial statements and first, second and third quarter 2005 financial statements. Also as previously announced, the company is evaluating the potential need to restate periods prior to 2004.
